Regis Resources has decided not to match Genesis Minerals’ higher proposal for Vault Minerals, clearing the way for a major consolidation of Australia’s gold sector.

Regis Resources said it would not improve its agreed all-share merger terms after Genesis Minerals submitted a superior offer valuing Vault Minerals at A$5.27 per share. Vault’s board had determined that the Genesis proposal was superior to the earlier Regis transaction, which valued Vault at approximately A$4.61 per share.

With Regis concluding that matching the rival bid would not satisfy its value and return thresholds, the termination of the original transaction is expected to trigger a break fee of about A$50.7 million payable to Regis, while Vault can now progress definitive arrangements with Genesis.

The decision removes a key obstacle to the proposed Genesis-Vault combination and signals continued consolidation among large Australian gold producers. The enlarged group would gain greater production scale, infrastructure-sharing opportunities and exposure to strong gold prices. For London investors, the deal is relevant to the wider valuation environment for UK-listed gold miners and developers, including Endeavour Mining, Fresnillo and AIM-quoted precious-metals companies.
