Circle to acquire Tazapay in $400 million stock deal

Circle Internet Group has announced its intention to acquire Tazapay, a Singapore-based cross-border payments infrastructure firm, for $400 million in stock. The transaction, disclosed in a regulatory filing on Tuesday, is expected to close in 2027, subject to the satisfaction of closing conditions and necessary regulatory approvals. A key requirement for the completion of the deal is approval from the Monetary Authority of Singapore. This acquisition represents one of the largest transactions in Circle’s history and follows closely on the heels of the firm receiving an unconditional national trust charter from the Office of the Comptroller of the Currency two months ago.

The deal is designed to integrate Tazapay’s extensive network into Circle’s ecosystem, bringing over $25 billion in annualized payment volume to the stablecoin issuer. Tazapay maintains more than 60 banking and fintech partners and operates payment rails covering over 100 markets. Approximately 60 per cent of these markets already include stablecoins, according to Circle. Jeremy Allaire, co-founder and chief executive officer of Circle, stated that stablecoin settlement is becoming core infrastructure in the global economy. He added that combining the USDC stablecoin with Tazapay’s banking relationships, local payout rails, and institutional customer base will accelerate worldwide adoption of USDC.

Circle and Tazapay first established a partnership last year, with Circle serving as the lead investor in Tazapay’s Series B funding round. Allaire noted that the two companies share a deep alignment. Irfan Ganchi, senior vice president of payments at Circle, said the acquisition extends the firm’s coverage to move money anywhere stablecoin payments are being adopted globally. Rahul Shinghal, co-founder of Tazapay, described the transaction as combining infrastructure that has never been combined at scale, citing regulated stablecoin issuance and compliant fiat-stablecoin bridging infrastructure anchored in key markets.

Analysts from TD Cowen, Bryan Bergin and David Duka, noted that Tazapay’s role as a Circle Payments Network design partner suggests relatively limited integration risk. They believe the deal could streamline integration across the network and provide Circle with greater influence over how capabilities are deployed as USDC adoption scales. Contextually, Circle recently acquired a significant blockchain patent portfolio from IBM, comprising more than 680 patent families and nearly 1,000 issued patents worldwide. Allaire previously described the national trust charter as a defining step in bringing blockchain technology and digital assets into the core of the US financial system.
