Thalia Therapeutics plc, the AIM-quoted RNA therapeutics developer, has described its proposed acquisition of Sanmirna Therapeutics alongside a £2.75 million oversubscribed fundraising as a transformational step forward. Shareholders are scheduled to vote on the transaction at the company’s annual general meeting.
Chief Executive Dr David Solomon informed investors that the deal would accelerate the group’s transition into a clinical-stage biotechnology business whilst significantly strengthening its RNA therapeutics pipeline. Subject to shareholder approval, the acquisition will incorporate miRisten, a Phase 1 clinical-stage microRNA therapeutic targeting acute myeloid leukaemia, into Thalia’s existing portfolio.
The combined entity will feature the company’s proprietary Nuvec delivery technology and a dual-targeting cardiovascular siRNA programme. Dr Solomon characterised the resulting portfolio as diversified, addressing multi-billion dollar global markets within oncology and cardiovascular disease.
Topline data from the Phase 1 miRisten study is anticipated during the first half of 2027, ahead of preparation for Phase 2 development. The trial remains open, although patient enrolment has been temporarily paused to allow the current cohort to progress through the study protocol.
Dr Solomon confirmed that funding is secured for planned work across the portfolio, including completion of the miRisten trial. Immediate priorities following completion of the acquisition include integrating Sanmirna operations, advancing the cardiovascular programme towards IND-enabling studies, and continuing development of Nuvec as a differentiated RNA delivery platform.
The Chief Executive stated that Thalia is entering an exciting phase of development, noting that the board remains focused on delivering important value-creating milestones. The annual general meeting was scheduled for 11am on Friday in London.
